About Ecolence
Ecolence is an online marketplace and information platform designed to facilitate the discovery of environmental, sustainable and impact-related investment opportunities offered by independent third-party sponsors and issuers.
Unless expressly stated otherwise, Ecolence does not issue, sponsor, manage, control or operate the investment opportunities displayed on the platform. Investment opportunities are offered by independent issuers, sponsors, fund managers or other third parties that are responsible for their respective offerings and offering materials.
Private and Exempt Offerings
Certain investment opportunities displayed on Ecolence may involve securities offered pursuant to exemptions from registration under federal or state securities laws.
Such offerings may not be registered with the U.S. Securities and Exchange Commission and may not be subject to the same disclosure requirements applicable to registered public offerings. Investors may therefore have access to less information than would ordinarily be available for publicly traded securities.
Securities acquired in certain exempt offerings may also be restricted and may not be freely transferable or resalable.
A filing with the SEC, including a Form D filing, should not be interpreted as SEC approval, endorsement or registration of an investment opportunity.
Investor Eligibility
Certain investment opportunities may be available only to investors who satisfy specified eligibility requirements, including, where applicable, accredited investor requirements.
Investor eligibility is determined under applicable law and the terms of the particular offering. Displaying an opportunity on Ecolence does not mean that the opportunity is available to every user.
Investors may be required by an issuer, sponsor or other authorized party to provide information or documentation establishing their eligibility before being permitted to invest.
Targets and Forward-Looking Information
Investment listings and related materials may contain targeted returns, projected distributions, forecasts, estimates, business plans, expected environmental outcomes or other forward-looking information.
Such information is based upon assumptions, expectations and circumstances that may change. Actual financial and environmental results may differ materially from those projected or targeted.
Targeted, projected or anticipated returns are not guaranteed, and there can be no assurance that any investment objective will be achieved.
Environmental and Impact Information
Investment sponsors may provide information regarding environmental objectives, sustainability characteristics, impact measurements, carbon reductions, biodiversity benefits, water conservation, renewable energy production or other environmental outcomes.
Measurement methodologies, assumptions, standards and reporting practices may vary among sponsors and investment opportunities. Environmental or sustainability-related claims should not be interpreted as guarantees that stated objectives or outcomes will be achieved.
Investors should review the applicable sponsor’s methodology, supporting documentation and offering materials when evaluating environmental or impact claims.
Past Performance
Past performance is not indicative of, and does not guarantee, future results.
Historical performance of an issuer, sponsor, investment manager, asset class, strategy or comparable investment should not be interpreted as an assurance that similar results will be achieved in the future.
Official Offering Documents Control
Information displayed on Ecolence is intended to assist users in discovering and understanding investment opportunities but may summarize information contained in more detailed offering materials.
Investors should carefully review all applicable definitive offering documents before investing, including, where applicable, private placement memoranda, offering circulars, subscription agreements, operating agreements, limited partnership agreements, financial statements and risk disclosures.
If information displayed on Ecolence conflicts with or differs from an issuer’s definitive offering documents, the definitive offering documents shall control.
Independent Due Diligence
Investors are responsible for conducting their own due diligence before making any investment decision.
Users should evaluate, among other matters, the investment structure, offering terms, fees and expenses, sponsor and management experience, financial information, conflicts of interest, liquidity restrictions, investment risks and environmental or impact methodology.
Investors should ask questions of the applicable sponsor or issuer and obtain additional information whenever necessary to make an informed investment decision.
Information Provided Through the Platform
Ecolence seeks to provide a consistent framework for presenting investment information. However, information concerning individual investment opportunities may originate from sponsors, issuers or other third parties.
While Ecolence may establish listing standards and information requirements, Ecolence does not guarantee that third-party information is accurate, complete, current or free from error unless expressly stated otherwise.
Users should independently confirm information material to their investment decisions with the applicable sponsor or issuer and its definitive offering materials.
Geographic and Legal Restrictions
Investment opportunities displayed through Ecolence may not be available in every jurisdiction or to every investor.
Users are responsible for complying with laws applicable to them, and issuers and sponsors are responsible for determining where and to whom their securities may lawfully be offered or sold.
Availability of Opportunities
Investment opportunities may be modified, suspended, fully subscribed, withdrawn or closed at any time by the applicable sponsor or issuer.
Display of an investment opportunity on Ecolence does not guarantee that the opportunity remains available or that an investor will be accepted into an offering.
Questions About an Investment?
Questions concerning a particular investment opportunity, its terms, eligibility requirements or offering documents should generally be directed to the sponsor or issuer identified on the applicable investment profile.
