Acceptance of Terms

These Terms of Use (“Terms”) constitute an agreement between you and Ecolence concerning your access to and use of the Ecolence website, marketplace, applications, content, features, communications and related services (collectively, the “Platform”).

By accessing or using the Platform, creating an account, submitting information, or otherwise using Ecolence services, you acknowledge that you have read and agree to be bound by these Terms and any policies incorporated into these Terms by reference.

If you do not agree to these Terms, you should not use the Platform.

About Ecolence

Ecolence operates an online marketplace and information platform designed to facilitate the discovery of environmental, sustainable and impact-related investment opportunities and related information.

The Platform may provide users with access to investment listings, sponsor profiles, educational materials, market information, service-provider information, documents, communications and other resources.

Unless expressly stated otherwise, investment opportunities displayed on Ecolence are offered by independent third-party issuers, sponsors, fund managers or other organizations and not by Ecolence

Ecolence's Role

Ecolence is a platform that facilitates the discovery and presentation of investment-related information.

Unless expressly disclosed otherwise in connection with a particular service, Ecolence does not issue, sponsor, manage or control investment opportunities displayed on the Platform.

Ecolence’s display of an investment opportunity, sponsor, service provider or other organization does not, by itself, constitute an endorsement, recommendation, approval or guarantee by Ecolence.

Additional information regarding Ecolence’s role and investment-related risks is available in our Investment Disclosures.

No Investment, Legal, Tax or Accounting Advice

Content available through the Platform is provided for general informational and educational purposes and should not be construed as individualized investment, financial, legal, tax or accounting advice.

Ecolence does not determine whether a particular investment opportunity is appropriate or suitable for a particular user through the general operation of the Platform.

Users are responsible for conducting their own evaluation and should consult qualified professional advisers as appropriate before making financial or investment decisions.

Investment Offerings

Nothing on the Platform should be construed as an offer by Ecolence to sell, or a solicitation by Ecolence of an offer to purchase, a security or investment product.

Any offer or sale of securities will be made by the applicable issuer or sponsor pursuant to its definitive offering materials and applicable securities laws.

Information displayed on Ecolence may summarize information contained in more detailed offering materials. If information displayed on Ecolence conflicts with the applicable definitive offering documents, the definitive offering documents control.

Investment Risks

All investments involve risk, including the possible loss of principal. Private securities, alternative investments and environmental or impact-related investments may involve substantial risks and may not be appropriate for all investors.

Risks may include limited liquidity, restrictions on transfer, uncertain valuations, long holding periods, business and execution risks, market risks, regulatory risks, environmental risks and the possible loss of some or all invested capital.

Users should carefully review the applicable offering documents and risk factors before making any investment decision.

Please review our Investment Disclosures for additional information.

Eligibility

You must be legally capable of entering into a binding agreement to create an Ecolence account or use features requiring contractual consent.

Certain investment opportunities may have additional eligibility requirements, including accredited investor requirements, geographic restrictions or other qualifications established by law or the applicable issuer or sponsor.

Access to an investment listing on Ecolence does not establish that a user is eligible to invest in that opportunity.

Accounts and Account Security

Certain Platform features may require users to create an account.

Users agree to provide accurate, current and complete information and to update account information when reasonably necessary.

Users are responsible for maintaining the confidentiality of their login credentials and for activity occurring through their accounts.

Users may not share account credentials in a manner that compromises Platform security or permits unauthorized access.

You should promptly notify Ecolence if you believe your account has been accessed or used without authorization.

Investor Accounts

Investor users may be able to save investment opportunities, follow sponsors, maintain watchlists, save searches, request information, download documents, receive alerts, communicate with sponsors and use other Platform features.

Features provided through an investor account are intended to facilitate discovery, organization and communication and do not constitute investment recommendations or suitability determinations.

Sponsor Accounts and Listings

Sponsors, issuers, fund managers and other organizations may use Ecolence to create organizational profiles and display investment opportunities, subject to applicable Ecolence requirements, subscription plans and policies.

Sponsors are responsible for ensuring that information and materials they provide are accurate, complete, current and lawful.

Sponsors are also responsible for compliance with securities laws, offering restrictions, advertising requirements and other laws applicable to their investment opportunities and activities.

Ecolence may establish listing standards, formatting requirements and content policies and may request modifications to materials submitted for publication.

Standardized Investment Profiles

Ecolence may organize investment information using standardized categories, fields, layouts or presentation formats intended to make opportunities easier for users to discover, understand and compare.

Standardization of presentation does not mean that investments have identical characteristics, risks or terms and should not be interpreted as a rating, certification or determination that investments are directly comparable in all respects.

Users should review each investment opportunity independently and consult its definitive offering materials.

Sponsor and Third-Party Content

Investment listings, sponsor profiles, offering documents, financial information, environmental information, photographs, videos and other materials may be supplied by independent third parties.

The party providing such content is responsible for the content it submits.

Although Ecolence may establish content requirements or review materials for Platform purposes, such review does not constitute legal, financial or investment approval of the content or underlying opportunity.

Content You Submit

Users retain ownership of content they lawfully own and submit to Ecolence.

By submitting content for publication, display or distribution through the Platform, you grant Ecolence a non-exclusive, worldwide, royalty-free license to host, reproduce, format, display, distribute and otherwise use that content as reasonably necessary to operate, promote and provide the Platform and related services.

You represent that you have the rights and permissions necessary to provide the content and authorize its use as described in these Terms.

The Ecolence Platform, including its branding, logos, website design, software, databases, organization, taxonomy, original content and other proprietary materials, is owned by or licensed to Ecolence and is protected by applicable intellectual property laws.

Except as expressly permitted, users may not reproduce, distribute, modify, create derivative works from, publicly display, commercially exploit or otherwise use Ecolence proprietary materials without authorization.

Ecolence Standard and Database

Ecolence’s standardized investment presentation formats, marketplace organization, classification systems, database structures and proprietary methodologies may constitute valuable intellectual property of Ecolence.

Nothing in these Terms grants users the right to systematically copy, extract, reproduce or commercially exploit these elements except as expressly authorized by Ecolence.

Investor and Sponsor Communications

Ecolence may provide functionality that allows users to contact investment sponsors or request additional information.

When a user affirmatively chooses to contact a sponsor or request information, certain contact information and information contained in the request may be provided to that sponsor.

Sponsors receiving user information through Ecolence may use that information only in accordance with applicable law, Ecolence policies and any applicable agreements governing their use of the Platform.

Paid placement does not constitute an endorsement or investment recommendation by Ecolence.

Additional information is available in our Advertising Disclosure.

Educational and Editorial Content

Ecolence may provide educational articles, research summaries, market commentary, newsletters, industry developments and other content through Ecolence Intelligence or other areas of the Platform.

Such content is provided for general informational and educational purposes and should not be construed as individualized investment advice or a recommendation to enter into a particular investment transaction.

Service Provider Directory

Ecolence may provide information regarding attorneys, accountants, auditors, fund administrators, insurance providers, technology providers, consultants and other independent service providers.

Inclusion in the Ecolence Service Provider Directory does not, by itself, constitute an endorsement, certification or recommendation.

Users are responsible for independently evaluating service providers before engaging them.

Third-Party Links and Services

The Platform may contain links to websites, offering portals, documents, applications and services operated by third parties.

Ecolence does not control independent third-party services and is not responsible for their content, availability, security, terms or privacy practices.

Access to third-party services is subject to the terms and policies of those third parties.

Ecolence may modify, update, suspend or discontinue features or portions of the Platform from time to time.

Ecolence does not guarantee that the Platform or any particular feature, listing, document or investment opportunity will be available continuously or without interruption.

Availability of Investment Opportunities

Investment opportunities may be modified, suspended, withdrawn, closed or fully subscribed at any time by the applicable sponsor or issuer.

Ecolence does not guarantee the continuing availability of any investment opportunity displayed on the Platform.

ECOLENCE IS NOT RESPONSIBLE FOR INVESTMENT LOSSES ARISING FROM AN INVESTMENT DECISION MADE BY A USER OR FOR THE ACTS OR OMISSIONS OF INDEPENDENT ISSUERS, SPONSORS, SERVICE PROVIDERS OR OTHER THIRD PARTIES.

To the extent permitted by applicable law, users who submit content, operate sponsor or business accounts, or use the Platform in violation of these Terms may be required to indemnify and hold harmless Ecolence and its affiliates, officers, directors, employees and agents from claims, liabilities, damages, losses and reasonable expenses arising from their unlawful conduct, violation of these Terms, infringement of third-party rights, or content they provide through the Platform.

The scope and procedures applicable to indemnification will be governed by the final version of these Terms and applicable law.

Ecolence may restrict, suspend or terminate access to the Platform where reasonably necessary to address violations of these Terms, nonpayment, fraud, security concerns, legal or regulatory requirements, misuse of the Platform or conduct that may harm Ecolence, its users or third parties.

Where appropriate and practicable, Ecolence may provide notice or an opportunity to address the issue.
